Through escrow administration, paying agent services, document solicitation, and AXIOM VDR, we support the execution mechanics that carry transactions from diligence to closing and through post-closing administration. Axiom’s M&A transaction services include:

Escrow Administration
Administration of indemnity holdbacks, purchase price adjustments, deferred consideration, contingent payment structures, disputed amounts, and other negotiated escrow arrangements.

Paying Agent Services
Coordination of transaction consideration, recipient documentation, payment elections, distribution workflows, and post-closing disbursement administration.

Solicitation Services

Virtual Data Room
AXIOM VDR provides a secure, structured environment for diligence materials, controlled document access, transaction-stage organization, and closing coordination.

By integrating these functions into one execution environment, Axiom helps buyers, sellers, counsel, and advisors manage the operational demands of a transaction with greater control, visibility, and precision. The result is a more orderly process, cleaner coordination across stakeholders, and a transaction infrastructure built for serious deal execution.

Axiom’s M&A Transaction Infrastructure

Escrow Administration

1.

Axiom provides escrow administration for private M&A transactions where disciplined control of funds, release mechanics, and post-closing obligations are central to execution. We coordinate the establishment and administration of transaction escrows tied to indemnity holdbacks, purchase price adjustments, contingent payments, deferred consideration, and other negotiated fund arrangements arising under the acquisition documents.

Our role is to bring structure, neutrality, and procedural rigor to the escrow process from formation through final disbursement. Axiom works alongside counsel and deal parties to implement the escrow mechanics reflected in the transaction agreements, maintain funds pursuant to agreed instructions, track release conditions, and administer disbursements in accordance with the governing documents.

This allows buyers, sellers, and their advisors to move complex escrow structures out of fragmented email chains and into a controlled administrative framework built for transaction certainty. Whether the escrow is intended to secure post-closing indemnification exposure, support working capital true-ups, govern milestone-based releases, or hold disputed amounts pending resolution, Axiom provides the administrative oversight required to keep the process orderly, responsive, and aligned with the deal terms.

Axiom Escrow Administration Capabilities Include:

  • Indemnity Escrows

  • Adjustment Escrows

  • Deferred Payment Escrows

  • Contingent Consideration Escrows

  • Disputed Amount Escrows

  • Milestone or Earnout-Related Holdbacks

  • Multi-Party Release Administration

  • Instruction-Based Disbursement Coordination

  • Escrow Reporting and Balance Tracking

  • Post-Closing Escrow Oversight

Designed for the demands of M&A execution, Axiom serves as the independent administrative layer between transaction documents and fund movement.

Paying Agent Services

2.

AXIOM administers the controlled distribution of transaction consideration in private M&A and other negotiated liquidity events. We coordinate the collection of required payee documentation, validate distribution readiness, and manage the release of funds pursuant to the governing transaction documents and payment instructions.

In many transactions, the paying agent function becomes one of the most operationally delicate phases of execution. Multiple recipients, varied payment methods, incomplete documentation, tax forms, letters of transmittal, rollover elections, and last-mile coordination can create unnecessary friction at precisely the stage where precision matters most. AXIOM brings structure to that process through a centralized administrative framework designed to support orderly, accurate, and well-documented disbursement.

Our role is to serve as the independent administrative layer between the transaction documents and the movement of consideration. We help organize payee onboarding, collect and track required forms, coordinate payment elections, maintain distribution records, and support the release process in accordance with the agreed deal mechanics. This allows buyers, sellers, counsel, and advisors to move through closing and post-closing distributions with greater control and less administrative burden.

AXIOM is particularly effective in transactions involving numerous stakeholders, mixed consideration structures, rollover participants, holdbacks, or staged distributions. By consolidating documentation, payment coordination, and recipient tracking in one controlled workflow, Axiom helps transaction parties execute distributions with greater discipline, visibility, and confidence.

AXIOM Paying Agent Capabilities Include:

  • Payment administration for merger and acquisition consideration

  • Collection of letters of transmittal and related transfer documents

  • W-8 and W-9 collection and tracking

  • Payee onboarding and distribution readiness coordination

  • Cash election and rollover election administration

  • Multi-recipient distribution tracking

  • Support for staged, deferred, and contingent disbursements

  • Recipient-level payment status reporting

  • Exception tracking for missing or deficient documentation

  • Centralized records of payment instructions and supporting materials

  • Stakeholder follow-up ahead of scheduled distributions

  • Administrative coordination of post-closing payment workflows

AXIOM Paying Agent is built for transactions where distribution mechanics require more than simple fund release. It provides a controlled framework for handling the documentary and administrative demands surrounding transaction consideration, helping deal parties complete one of the most sensitive closing functions with institutional discipline.

Shareholder Solicitation

3.

Axiom manages the disciplined collection of transaction-critical signature documents through a secure, centralized solicitation process built for complex private transactions. We coordinate the delivery, execution, tracking, and follow-up of pre-closing documents requiring securityholder or stakeholder action, helping deal parties move documentation to completion with greater precision and less administrative friction.

Documents Axiom can solicit and manage include:

  • Information Statements

  • Securityholder Consents

  • 280G Elections

  • Acknowledgments

  • Joinders

  • Rollover Elections

  • Accredited Investor Questionnaires

  • Tender Documents and Election Forms

  • Letters of Transmittal

  • W-8s and W-9s

  • Multi-Party Signature Documents

Designed for transactions involving fragmented ownership groups or broad stakeholder participation, Axiom brings structure to one of the most operationally sensitive phases of the deal process.

Virtual Data Room (AXIOM VDR)

4.

AXIOM VDR is a controlled transaction environment built for private M&A execution. It provides a secure, highly organized workspace for diligence materials, sensitive disclosures, draft documentation, and closing-stage records, giving transaction parties a more disciplined way to manage information flow from launch through closing.

In private transactions, a data room should do more than store files. It should support speed, confidentiality, permission control, and accountability across multiple parties working under tight timelines. AXIOM VDR is designed around that standard, with structured document organization, role-based access architecture, searchable content, controlled distribution, and clear visibility into user activity throughout the life of the deal.

AXIOM VDR helps transaction teams move away from fragmented file exchange and into a centralized environment where diligence, review, and document coordination can occur with greater order and less operational drag. Materials can be staged, organized, permissioned, and released in a deliberate manner, allowing counsel, buyers, sellers, and advisors to manage access with greater precision as the transaction evolves.

The platform is particularly well suited for transactions involving multiple counterparties, sensitive information, or dense diligence workflows. By combining document control, access governance, activity visibility, and streamlined administration in one place, AXIOM VDR supports a more efficient and better-governed deal process.

AXIOM VDR Capabilities Include:

  • Secure document hosting for live transactions

  • Granular role-based permissions by user, group, folder, or document

  • Structured diligence indexes and controlled folder architecture

  • Staging environments for pre-release document preparation

  • Bulk upload and organized file transfer workflows

  • Keyword search across transaction materials

  • Document redaction for sensitive disclosures

  • Q&A workflows for diligence coordination

  • User access auditing and permission verification

  • Watermarking, audit trails, and encrypted document handling

  • Activity reporting and engagement visibility

  • Rapid filtering of new, unread, or recently updated materials

  • Administrative reporting for users, files, and permissions

  • Multi-party access control across internal and external stakeholders

  • Institutional support for time-sensitive transaction environments

AXIOM VDR is designed to bring procedural discipline to one of the most sensitive parts of the M&A process.

BANK-GRADE SECURITY

Escrow funds administered by Axiom are held with regulated financial institutions, including our banking partner CommerceWest Bank. Funds are deposited into designated escrow accounts established specifically for each transaction and are maintained in accordance with the terms of the applicable escrow agreement.

As a regulated financial institution, CommerceWest Bank provides the banking infrastructure that supports the safeguarding and custody of escrow funds. This structure ensures that escrow balances are held within established banking systems and administered through recognized financial controls designed for commercial escrow arrangements.

Axiom coordinates the administration of these accounts in accordance with the escrow agreement negotiated by the transaction parties. This includes receiving escrow deposits at closing, maintaining accurate escrow records, administering claim notices and release procedures, and processing authorized distributions.

All escrow funds are maintained in segregated accounts dedicated to the specific transaction for which they are established. These accountsare not commingled with operational funds and are administered solely for the purposes outlined in the governing escrow agreement.

Escrow disbursements are processed only upon receipt of properly authorized instructions in accordance with the release provisions set forth in the transaction documentation. This structured process helps ensure that funds are released strictly in accordance with the negotiated terms of the agreement.

Through this framework—combining regulated banking custody with structured escrow administration—Axiom provides transaction parties with a secure and transparent environment for managing escrow funds throughout the life of the transaction.

Axiom partners with attorneys, investment banks, private equity firms, and corporate advisors to provide secure and efficient escrow administration for mergers and acquisitions. Our goal is to simplify the operational complexity of private M&A transactions while ensuring that escrow arrangements are executed exactly as negotiated.
